These Terms apply to Bayani.ai, including related websites, applications, APIs, hosted agent services, and approved integrations we make available. By accessing or using the service, you agree to follow these terms and any additional written agreement that specifically governs your subscription, pilot, or enterprise engagement.

Bayani.ai is designed as a secure middle tier for organizations that want AI systems with tenant isolation, controlled tool access, approvals, and auditability. That operating model shapes the rules below: users remain responsible for lawful use, input quality, approvals, and independent review of any consequential output.

01 — Acceptance

Using Bayani.ai means you agree to these terms.

These terms set the baseline rules for access to the Bayani.ai website, hosted platform, agent features, APIs, and related enterprise services.

By accessing or using Bayani.ai, you agree to these Terms of Use and to any additional product, pilot, subscription, or enterprise terms that we provide in writing for a specific engagement.

If a separate signed agreement applies to your organization, that agreement takes priority where it conflicts with this public page. Otherwise, these terms govern your use of the service.

  • > You must be authorized to act for your organization when creating accounts, configuring integrations, or enabling production workflows.
02 — Platform role

Bayani.ai provides AI-assisted workflows, not guaranteed truth or automatic authority.

The platform is designed to help organizations retrieve information, coordinate workflows, and operate governed AI assistants. It does not replace internal review, domain expertise, or required human approvals.

AI-generated content, summaries, classifications, recommendations, and tool suggestions may be incomplete, outdated, biased, or wrong. You are responsible for evaluating whether output is accurate, appropriate, and lawful before relying on it.

Bayani.ai should not be treated as a source of final authority for decisions that carry legal, regulatory, contractual, financial, operational, safety, or reputational consequences. Those decisions require independent review by qualified people inside or outside your organization.

  • > Human review is required before taking consequential action based on generated output.
  • > Approvals remain your responsibility even when the platform supports automated drafting, routing, or tool orchestration.
03 — Accountability

You are responsible for accounts, access, inputs, and lawful use.

Bayani.ai is built for organization-scoped access and governed use. That means each customer remains accountable for who uses the service, what data they submit, and how outputs are acted on.

You are responsible for maintaining the confidentiality of credentials, API tokens, and any connected integration secrets under your control.

You must ensure that all prompts, files, instructions, tool calls, and connected-system actions initiated through the service are authorized and lawful.

You must not use Bayani.ai to violate law, infringe the rights of others, bypass access controls, distribute harmful or deceptive content, probe the platform for vulnerabilities, or interfere with service operations.

  • > No misuse of tenant boundaries such as trying to access, infer, or extract another customer's data or configuration.
  • > No abuse of automations or tools for spam, fraud, harassment, credential theft, malware, or unauthorized surveillance.
04 — Customer data and integrations

You must have the right to submit data and connect external systems.

Organizations often use Bayani.ai with internal content, external tools, and customer-specific workflows. Those capabilities depend on the customer providing data and integration access that they are actually permitted to use.

You represent that you have the necessary rights, permissions, notices, and lawful basis to upload content, transmit data, and connect third-party systems through Bayani.ai.

You remain responsible for the legality, quality, and appropriateness of customer data, prompts, uploaded files, and actions initiated through connected systems.

Third-party services, websites, models, APIs, and integrations remain subject to their own terms, policies, uptime, and security practices. Bayani.ai is not responsible for third-party failures or changes outside our control.

  • > Do not connect systems you are not authorized to control or expose to an AI workflow.
  • > Do not submit sensitive or regulated data unless your deployment and contractual scope are specifically designed to handle it.
05 — Intellectual property and restrictions

The platform, its branding, and its proprietary materials remain protected.

Bayani.ai and its related branding, interface design, documentation, software, workflow patterns, and site content remain owned by Bayani.ai or its licensors unless a different written agreement says otherwise.

We grant you a limited, revocable, non-exclusive right to use the service in accordance with these terms and any applicable subscription or project agreement.

You may not copy, resell, sublicense, republish, reverse engineer, or build a misleadingly competing service from Bayani.ai content, software, or protected materials except where mandatory law expressly allows it.

You may not systematically crawl, scrape, or harvest Bayani.ai content or output for bulk dataset creation, model training, or automated redistribution without prior written permission.

  • > Your own content remains yours subject to the rights needed for us to operate the service for your use case.
  • > Public references to Bayani.ai output should be truthful and should not imply endorsement, authorship, or guarantees that we did not provide.
06 — Availability and limits of liability

The service is provided with care, but not with absolute guarantees.

We work to keep Bayani.ai available, secure, and useful, but AI systems, software platforms, integrations, and hosted infrastructure can fail, degrade, or behave unexpectedly.

Bayani.ai is provided on an as-available basis. We do not guarantee uninterrupted availability, error-free performance, perfect output quality, or fitness for every workflow, environment, or regulatory context.

To the fullest extent permitted by applicable law, Bayani.ai is not liable for indirect, incidental, consequential, special, exemplary, or reliance-based losses arising from the use of the service, generated output, or connected integrations.

Nothing on the service should be interpreted as a promise that Bayani.ai alone satisfies your legal, regulatory, audit, procurement, or internal policy obligations without additional implementation and review work.

  • > Always validate before execution when outputs affect contracts, compliance, communications, data changes, or external actions.
  • > Use staged rollout and approvals rather than treating any new AI workflow as self-proving.
07 — Suspension, termination, and changes

We may protect the service by limiting or ending access when needed.

Because Bayani.ai operates as a governed enterprise platform, we may need to suspend or restrict access where misuse, security risk, payment failure, or legal obligations require intervention.

We may suspend, limit, or terminate access if we reasonably believe the service is being used unlawfully, abusively, insecurely, outside agreed scope, or in a way that threatens the platform, other customers, or third parties.

We may modify, replace, or retire features, integrations, or service components from time to time. When these Terms change, we will post the updated version on this page with a revised update date.

Your continued use of the service after updated terms are posted means you accept the revised terms unless a separate written agreement says otherwise.

  • > Enterprise customers should review changes as part of their normal vendor and deployment governance process.
